Your use of the platforms constitutes a binding legal agreement between you and Amaarte Consultores SRL.


   b. **Updates and Changes**: Amaarte Consultores SRL reserves the right to modify, amend, or replace these Terms and Conditions from time to time. If you are using our platforms on behalf of an organization or entity, you represent that you have the authority to bind the organization to these terms.


   f. **Decline of Terms**: If you do not agree to these Terms in their entirety, or cannot comply with these Terms and Conditions, you should not access or use our platforms.


**2. User Accounts**:


   a. **Account Creation**: In order to access certain features of the CB Hoyo Mobile Application and the Website, users might be required to create an account. During account registration, users are required to provide accurate, complete, and current information and to update this information as necessary to keep it accurate, complete, and current.


   b. **Account Security**: Users are responsible for safeguarding their account credentials, including usernames and passwords. Amaarte Consultores SRL cannot and will not be liable for any loss or damage arising from users' failure to comply with the above. Users must notify us immediately of any unauthorized access or use of their account.


   c. **Age Requirement**: To create an account, users must be at least 18 years of age or with parental consent. By creating an account, users affirm they are at least 18 years of age or with parental consent and provide truthful information concerning their age.


   d. **Account Responsibilities**: Users are responsible for all activities that occur under their account, including content they post, interactions with other users, and any purchases or transactions. 


   e. **Account Limitations**: Users may not use another person's account without explicit permission. Users are not allowed to sell, transfer, license or assign their account, followers, username, or any account rights.


   f. **Suspension and Termination**: Amaarte Consultores SRL reserves the right to temporarily suspend or permanently terminate accounts at its discretion, especially in cases where there is a violation of these Terms or any applicable laws, or if the account is deemed to pose a risk to Amaarte Consultores SRL or other users.


   g. **Account Deactivation**: Users may choose to deactivate or delete their accounts at any time. Some data may be retained by Amaarte Consultores SRL for legal or operational reasons even after account deletion.


   h. **Privacy**: User registration data and other information are subject to our Privacy Policy. By creating an account, users consent to the collection and use of their personal data as outlined in the Privacy Policy.

If a product offered by us is not as described, your sole remedy is to return it in unused condition, subject to our return policy.

In case an item is listed with an incorrect price or incorrect information, we have the right to refuse or cancel orders for the item, unless the item has already been dispatched.

By submitting feedback, users grant Amaarte Consultores SRL an unrestricted, non-exclusive, royalty-free, perpetual, and irrevocable right to use, reproduce, modify, and publish such feedback for any purpose.

   c. **Binding Effects**: These terms and conditions will be binding upon and inure to the benefit of the parties and their respective successors, permitted assigns, heirs, and legal representatives.


   d. **Third-Party Beneficiaries**: Nothing in these terms and conditions is intended or shall be construed to confer upon or give any person, other than the parties, any rights, remedies, obligations, or liabilities under or by reason of these terms and conditions, except as expressly provided in these terms.


   e. **Notification of Assignment**: In the event of a significant assignment, such as a change of ownership or control due to a merger or acquisition, Amaarte Consultores SRL will make reasonable efforts to notify users through the communication channels deemed appropriate, including but not limited to email notifications or announcements on the CB Hoyo mobile application and website.


**7. Disclaimer of Warranty**:


   a. **"As Is" Basis**: All products, services, content, and materials provided by Amaarte Consultores SRL on the CB Hoyo mobile application and website are provided "as is" and "as available" without any representations or warranties of any kind, either express or implied.


   b. **No Warranties**: Amaarte Consultores SRL expressly disclaims all warranties, whether express, implied, statutory, or otherwise, including but not limited to, implied warranties of merchantability, fitness for a particular purpose, non-infringement, and any warranties arising out of the course of dealing or usage of trade.


   c. **No Guarantee of Accuracy**: While we strive to provide accurate and up-to-date information, we do not warrant that product descriptions, pricing, or any other content on our platforms is accurate, complete, reliable, current, or error-free.


   d. **No Uptime Guarantee**: Amaarte Consultores SRL does not warrant that the CB Hoyo mobile application or website will operate without interruptions, be error-free, or that defects will be corrected. There is no guarantee that users will be able to access or use the services at times or locations of their choosing.


   e. **Risk of Use**: Users acknowledge and agree that their use of our platforms, products, and services is at their own risk. This includes any reliance on the accuracy, completeness, or usefulness of any content available through the platforms.


   f. **Third-Party Products**: Any products or services provided by third parties, including third-party products available through our platforms, are provided "as is" without warranty of any kind, either express or implied.


   g. **Limitations by Law**: Some jurisdictions do not allow the exclusion of certain warranties or the limitation or exclusion of liability for incidental or consequential damages. As a result, some of the above exclusions or limitations may not apply to certain users. In such jurisdictions, Amaarte Consultores SRL's liability shall be limited to the maximum extent permitted by law.


   h. **Advice & Information**: Any advice or information, whether oral or written, obtained from Amaarte Consultores SRL or through the platforms will not create any warranty not expressly made herein.

Both parties agree that the courts located within the Dominican Republic will have exclusive jurisdiction over any dispute.


   d. **Waiver of Class Action**: Users waive any right they may have to commence or participate in any class action lawsuit against Amaarte Consultores SRL related to any claim, dispute, or controversy, and, where applicable, users hereby agree to opt out of any class proceeding against Amaarte Consultores SRL otherwise commenced.


   e. **Limitation Period**: Any claim or dispute related to the CB Hoyo mobile application, the website, or any of Amaarte Consultores SRL's products or services must be filed within one year after such claim or dispute arose, regardless of any statute or law to the contrary. In the event that any such claim or dispute is not filed within such one-year period, such claim or dispute is forever barred.


   f. **Equitable Relief**: Notwithstanding the above, Amaarte Consultores SRL may seek injunctive or other equitable relief in any court of competent jurisdiction to prevent or restrain any breach or threatened breach of these terms and conditions.


   g. **Legal Fees**: In the event of a dispute resulting in legal action, the prevailing party shall be entitled to recover all legal fees and costs incurred.


**9. Indemnification**:


   a. **General Indemnification**: Users agree to indemnify, defend, and hold harmless Amaarte Consultores SRL, its affiliates, directors, officers, employees, agents, and licensors from and against all claims, losses, expenses, damages, and costs, including reasonable attorneys' fees, arising out of or relating to any violation of these terms and conditions or any activity related to the use of the CB Hoyo mobile application and website (including negligent or wrongful conduct) by the user or any other person accessing the platforms using the user's account.


   b. **Third-Party Claims**: If a third party brings a claim against Amaarte Consultores SRL related to the actions or inactions of a user, that user will indemnify and hold Amaarte Consultores SRL harmless from and against all damages, losses, and expenses of any kind (including reasonable legal fees and costs) arising out of such claim.


   c. **Cooperation in Defense**: Users agree to cooperate fully in the defense of any claim brought or asserted against Amaarte Consultores SRL. Amaarte Consultores SRL reserves the right, at its own expense, to assume the exclusive defense and control of any matter subject to indemnification by the user.


   d. **No Settlement Without Consent**: Users agree not to settle any claim that affects Amaarte Consultores SRL without the prior written consent of Amaarte Consultores SRL.


   e. **Indemnification Scope**: The indemnity obligations under this section include any liability or expense arising from all claims, losses, damages (actual and consequential), suits, judgments, litigation costs, and attorneys' fees, of every kind and nature.


   f. **Survival**: The obligations set forth in this section shall survive any termination or expiration of these terms and conditions or a user's use of the CB Hoyo mobile application or website.


**10. Intellectual Property Rights**:


   a. **Ownership**: All content, features, and functionality on the CB Hoyo mobile application and website, including but not limited to text, graphics, logos, icons, images, audio clips, digital downloads, and software, are the property of Amaarte Consultores SRL or its content suppliers and are protected by international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws.


   b. **Restrictions**: Users may not modify, reproduce, distribute, create derivative works or adaptations of, publicly display or in any way exploit any of the content, features, or functionality of the platforms in whole or in part except as expressly authorized by Amaarte Consultores SRL. 


   c. **Trademarks**: The CB Hoyo name, logo, and all related product and service names, design marks, and slogans are trademarks or registered trademarks of Amaarte Consultores SRL. Users are prohibited from using such marks without the prior written consent of Amaarte Consultores SRL. All other names, logos, product and service names, designs, and slogans on the platforms are the trademarks of their respective owners.


   d. **License**: Subject to compliance with these terms and conditions, Amaarte Consultores SRL grants users a limited, non-exclusive, non-transferable, and non-sublicensable license to access and use the platforms for their personal, non-commercial use only.


   e. **Protection of Rights**: Amaarte Consultores SRL reserves the right to enforce its intellectual property rights to the fullest extent of the law, including seeking civil remedies and criminal prosecution.


   f. **Notification of Infringement**: If any user or visitor believes that their intellectual property rights are being infringed upon by any content on the platforms, they should promptly inform Amaarte Consultores SRL at with a detailed description of the alleged infringement.

   h. **Reverse Engineering**: Users are prohibited from reverse engineering, decompiling, or disassembling any software embedded or used on the platforms, except and only to the extent that such activity is expressly permitted by applicable law notwithstanding this limitation.


**11. Limitation of Liability**:


   a. **No Consequential Damages**: To the fullest extent permitted by applicable law, Amaarte Consultores SRL, its affiliates, officers, directors, employees, agents, suppliers, or licensors shall not be liable for any indirect, incidental, special, consequential, punitive damages, or any other damages, including but not limited to loss of profits, data, use, goodwill, or other intangible losses, resulting from (i) your access to or use of or inability to access or use the CB Hoyo mobile application and website; (ii) any unauthorized access to or use of our servers and/or any personal information stored therein; (iii) any interruption or cessation of transmission to or from our servers; (iv) any bugs, viruses, or similar harmful agents which may be transmitted to or through our platforms by any third party; and/or (v) any omissions or errors in any content or for any loss or damage incurred as a result of the use of any content posted, emailed, transmitted, or otherwise made available through the platforms.


   b. **Cap on Liability**: Under no circumstances will Amaarte Consultores SRL's total liability of all kinds arising out of or related to user's use of the platforms (including but not limited to warranty claims), regardless of the forum and regardless of whether any action or claim is based on contract, tort, or otherwise, exceed the total amount paid by the user to Amaarte Consultores SRL during the 12-month period prior to the claim.


   c. **Basis of the Bargain**: The limitations of damages set forth above are fundamental elements of the basis of the bargain between Amaarte Consultores SRL and the user. The platforms and their services would not be provided without such limitations.


   d. **User Responsibility**: Users acknowledge and agree that they use the platforms and any related services at their own risk and that they should be financially responsible for any damages that arise from their use.


   e. **Local Laws**: Some jurisdictions do not allow the exclusion or limitation of incidental or consequential damages, so the above limitations or exclusions may not apply to certain users.    c. **Data Mining**: Users may not use data mining, robots, or similar data gathering and extraction tools on the platforms or its related databases.


   d. **Harmful Programs**: Users are forbidden from introducing or distributing viruses, trojans, worms, logic bombs, or other material that is malicious or technologically harmful on the platforms.


   e. **Impersonation**: Users may not impersonate or attempt to impersonate Amaarte Consultores SRL, its employees, or any other user, or misrepresent their identity or affiliation with any person or entity.


   f. **Commercial Use**: Unless granted permission by Amaarte Consultores SRL, users may not reproduce, duplicate, copy, sell, resell, or exploit any portion of the platforms for any commercial purposes.


   g. **Endangering Others**: Users may not engage in any activities that could harm, take advantage of, or cause harm or undue distress to any other user or third party.


   h. **Spamming**: Users are prohibited from engaging in any advertising or marketing without the express approval of Amaarte Consultores SRL, including sending unsolicited promotional or advertising content.


   i. **Hate Speech & Harassment**: Users may not post, engage in, or promote hate speech, discrimination, or violence against individuals or groups based on race, ethnicity, nationality, religion, gender, gender identity, sexual preference, disability, or any other defining characteristic.


   j. **Overburdening Infrastructure**: Users may not take any action that imposes an unreasonably large load on the platforms' infrastructure.


   k. **Reverse Engineering**: Users are prohibited from attempting to reverse engineer any portion of the platforms.


   l. **Intellectual Property Violations**: Users may not infringe upon the intellectual property rights of Amaarte Consultores SRL or any third party.


   m. **Fraudulent Activities**: Users may not engage in or encourage fraudulent activities or deceptive practices.


   n. **Bypassing Measures**: Users must not attempt to bypass or break any security mechanism on the platforms or use the platforms in any other manner that poses a security or service risk to Amaarte Consultores SRL or any of its users.


**13. Severability**:


   a. **General Principle**: If any provision (or part of a provision) of these terms and conditions is found by any court or administrative body of competent jurisdiction to be invalid, unenforceable, or illegal, the other provisions shall remain in force. 


   b. **Replacement of Provisions**: If any invalid, unenforceable, or illegal provision would be valid, enforceable, and legal if some part of it were deleted, that provision shall apply with whatever modification is necessary to make it valid, enforceable, and legal, while still preserving its intent.


   c. **No Waiver**: The continued use of the CB Hoyo mobile application and website despite the finding of invalidity of any provision herein does not constitute a waiver of the other provisions, and all provisions will remain in full force and effect to the fullest extent permitted by law.


   d. **Local Jurisdictions**: In the event that any provision is deemed unenforceable or invalid under any applicable jurisdiction or due to local laws, such provision will be adjusted to conform to the requirements of said law without affecting the remainder of these terms and conditions.


   e. **User Acknowledgement**: By using the platforms, users acknowledge that removing or rendering any part of these terms unenforceable will not affect the enforceability and validity of the remaining provisions, which will remain in full force.
